Terms of Service

These Terms of Service ("Terms") govern your access to and use of the software products, websites, and services offered by Side Nerd Apps ("Company," "we," "us," or "our"), including but not limited to Ither, Link Lead, MediMatch, and other applications (collectively, the "Services"). Side Nerd Apps is a product line of MarTech Connect LLC (to become Side Nerd Inc., a Delaware corporation).

Please read these Terms carefully. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

By creating an account, accessing, or using any of our Services, you confirm that you accept these Terms and agree to comply with them. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to enter into these Terms on your own behalf. Some Services may be used by individuals aged 13 and older with the consent and supervision of a parent, guardian, or authorized organization administrator. The Services are not intended for children under 13.

3. Accounts and Registration

To access certain features, you may need to create an account. You agree to:

Provide accurate, current, and complete information
Keep your account credentials confidential and secure
Be responsible for all activity that occurs under your account
Notify us promptly of any unauthorized use of your account

4. Acceptable Use

You agree not to use the Services to:

Violate any applicable law, regulation, or third-party right
Send unlawful, harassing, defamatory, or fraudulent content
Transmit spam or unsolicited messages in violation of anti-spam or telecommunications laws
Upload malware or attempt to disrupt, disable, or compromise the Services
Attempt to gain unauthorized access to any systems, accounts, or data
Reverse engineer, copy, or resell the Services except as permitted by law
Use the Services to store or transmit content you are not authorized to handle

5. SMS and Messaging Services

Certain Services operate over SMS text messaging. By opting in, you consent to receive automated messages related to the Service. Message and data rates may apply. Reply STOP to any message to opt out, or HELP for assistance. Standard SMS is not encrypted end-to-end; do not send highly sensitive information (passwords, financial account numbers, Social Security numbers) via text message.

6. Subscriptions, Fees, and Payment

Some Services are offered on a paid or subscription basis. By subscribing, you agree to pay the applicable fees as described at the time of purchase. Unless otherwise stated:

Fees are billed in advance and are non-refundable except where required by law
Subscriptions renew automatically until cancelled
You may cancel at any time; access continues through the end of the current billing period
We may change pricing with reasonable advance notice

Payments are processed by third-party providers (such as Stripe). Your use of payment features is also subject to those providers' terms.

7. Customer Content

You retain ownership of the content you submit through the Services ("Customer Content"). You grant us a limited, non-exclusive license to use, host, process, and transmit Customer Content solely as necessary to provide and improve the Services, and as described in our Privacy Policy. You are responsible for ensuring you have the rights and permissions necessary to submit your Customer Content.

8. Intellectual Property

The Services, including all software, designs, text, graphics, and trademarks, are owned by Side Nerd Apps / MarTech Connect LLC or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. No other rights are granted.

9. Third-Party Services

The Services may integrate with or rely on third-party products and services (such as AWS, Twilio, OpenAI, Anthropic, Stripe, QuickBooks, and others). We are not responsible for the availability, accuracy, or practices of third-party services. Your use of them may be governed by their own terms.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure. Content provided through the Services is for informational purposes and does not constitute legal, financial, medical, or professional advice.

11. Limitation of Liability

To the maximum extent permitted by law, Side Nerd Apps and MarTech Connect LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Services. Our total aggregate liability for any claim arising out of these Terms or the Services will not exceed the amount you paid us for the Services in the twelve (12) months preceding the claim, or one hundred U.S. dollars ($100), whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless Side Nerd Apps, MarTech Connect LLC, and their officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your Customer Content, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services, with or without notice, if you violate these Terms, create risk or legal exposure for us, or if we discontinue the Services. Upon termination, the rights granted to you will cease. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Delaware, and you consent to their personal jurisdiction and venue.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
